End-User License Agreement ("EULA")

This End-User License Agreement ("EULA") is a legal agreement between you and Alluvial Labs, the developer and provider of the StateConcile accounting software ("Software").

1. Acceptance

By installing, downloading, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not use or install the Software.

2. License Grant

Alluvial Labs grants you a revocable, non-exclusive, non-transferable, limited license to use the Software solely for your personal or business purposes strictly in accordance with the terms of this EULA.

3. Restrictions

You agree not to, and will not permit others to license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Software or make the Software available to any third party.

4. Modification

Alluvial Labs reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Software or any service to which it connects, with or without notice and without liability to you.

5. Termination

This EULA will terminate immediately, without prior notice from [Your Company Name], if you fail to comply with any provision of this EULA. Upon termination, you must destroy all copies of the Software in your possession.

6. Disclaimers

The Software is provided "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. Alluvial Labs makes no representations or warranties of any kind concerning the safety, suitability, lack of viruses, inaccuracies, typographical errors, or other harmful components of the Software.

7. Limitation of Liability

In no event will Alluvial Labs be liable for any incidental, consequential, or indirect damages (including, but not limited to, damages for loss of profits, business interruption, loss of data, and the like) arising out of the use or inability to use the Software.

8. Governing Law

This EULA shall be governed by and construed in accordance with the laws of state of North Dakota, without regard to its conflict of law rules.
